Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website adik.co and the services offered through it by Lamer Group LLC, operating the Adik brand (“Adik,” “we,” “us,” or “our”). By accessing the site, contacting us, requesting a callback, or using our services, you agree to these Terms. If you do not agree, do not use the site or our services.

1. Who May Use the Site

You must be at least 18 years old and able to enter into a binding contract. If you use the site on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. What We Do

Adik is a digital agency that helps small business owners with services that may include website design and hosting, SEO and online reputation, CRM and chatbot setup, AI voice assistants, and business automations (the “Services”). The website itself is informational and a way to contact us, request a callback, and learn about the Services.

3. Paid Engagements Are Governed by a Separate Agreement

These Terms cover your use of the website. When you hire Adik for paid Services, the specific scope, fees, and terms of that engagement will be set out in a separate written services agreement between you and Adik. If anything in that signed services agreement conflicts with these Terms, the signed services agreement controls for that engagement.

4. Communications Consent

By providing your phone number, email, or other contact details through the site, a form, or a conversation with us, you consent to be contacted as described in our Privacy Policy, including by automated technology and artificial or prerecorded (AI) voice calls and by text message, for the purpose of responding to your request and providing Services. Consent to marketing communications is not a condition of purchase. You may opt out at any time — reply STOP to texts, use the unsubscribe link in emails, or ask us to stop calling. Message and data rates may apply.

You also acknowledge that calls with us may be recorded and handled by an AI voice assistant, and that we will disclose recording at the start of the call.

4.5 SMS Program Terms

SMS Program overview. By opting in to receive SMS from Adik Media (Lamer Group LLC) via our Growth Audit booking form at https://adik.co/book, you agree to these SMS Program Terms in addition to our general Terms of Service.

SMS program use cases. Our SMS program is used for the following transactional purposes only:

  • Booking confirmations for Growth Audits
  • Appointment reminders
  • Support follow-ups related to your inquiry or booking
  • STOP/HELP responses

We do not send marketing, promotional, or advertising SMS under this program.

Opt-out instructions. You can opt out of our SMS program at any time by texting STOP to any of our SMS messages. Upon receiving STOP, you will receive one final confirmation message and no further SMS will be sent.

Message and data rate disclosure. Message and data rates may apply based on your mobile carrier and plan. Adik Media (Lamer Group LLC) is not responsible for message or data rate charges incurred by you.

Carrier liability disclaimer. Mobile carriers (including but not limited to AT&T, T-Mobile, Verizon, Sprint) are not liable for delayed or undelivered SMS messages. Message delivery is subject to carrier network availability and is not guaranteed. Adik Media (Lamer Group LLC) is not liable for messages that are delayed, undelivered, or filtered by carrier networks.

Age restriction for SMS. Our SMS program is intended for users 18 years of age or older. You must be at least 18 to opt in to receive SMS from us. By opting in, you represent that you are at least 18 years of age.

Message frequency. Message frequency varies. Typical usage: 2-4 messages per booked Growth Audit.

Privacy and data handling. How we collect, use, and protect your SMS data is described in our Privacy Policy, Section 3.5 (SMS Messaging Program — Detailed Terms).

No sharing of SMS data. Adik Media (Lamer Group LLC) does not share, sell, or rent your mobile phone number or SMS content with third parties for their own marketing. See Privacy Policy Section 3.5 for full details.

Program modifications. We may modify or terminate our SMS program at any time with reasonable notice. Continued use after modifications constitutes acceptance of the updated terms.

5. Fees, Recurring Billing, and Cancellation

  • Recurring subscriptions. Many Services are billed on a recurring monthly basis. By starting a paid engagement, you authorize Adik (and our payment processor) to charge your payment method on file automatically each billing cycle until you cancel.
  • Auto-renewal. Subscriptions renew automatically each cycle at the then-current rate unless you cancel before the next billing date. We will make renewal terms clear before you sign up.
  • Cancellation. You may cancel as described in your services agreement or by contacting us. Cancellation stops future charges; it does not refund amounts already billed for the current cycle unless your agreement says otherwise.
  • Failed payments. If a payment fails, we may suspend Services until the balance is paid. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law.
  • Hosting and domains. If we host your site or manage your domain, those Services continue only while your account is active and paid. We will give you a reasonable opportunity to migrate before terminating hosting for non-payment.

6. Your Responsibilities

You agree to provide accurate information, to have the rights to any content or materials you give us to use on your behalf, and not to use the site or Services for anything unlawful, infringing, deceptive, or harmful. You are responsible for activity under your account and for keeping your credentials secure.

7. Intellectual Property

  • Our materials. The adik.co website, our brand, and our underlying methods, templates, frameworks, playbooks, prompts, workflows, and tools (“Adik Materials”) are owned by Adik and protected by law. Nothing in these Terms transfers ownership of Adik Materials to you.
  • Your deliverables. Ownership of the specific deliverables we create and you pay for is addressed in your separate services agreement. Where Adik Materials are incorporated into a deliverable, you receive a non-exclusive, internal-use license to use them as part of that deliverable; Adik retains all rights in the Adik Materials themselves.
  • Your content. You keep ownership of content you provide and grant us the license needed to perform the Services.

8. Third-Party Services

Our Services rely on and may integrate third-party platforms (for example, GoHighLevel, Vapi, Twilio, Make, Smartlead, Clay, Lovable, and payment processors). Your use of those platforms may be subject to their own terms, and we are not responsible for their availability, performance, or actions.

9. No Guarantee of Results

We bring skill and effort, but we do not guarantee specific outcomes — including search rankings, traffic, lead volume, conversion rates, or revenue. SEO and marketing results depend on factors outside our control (including search engines, markets, and your own business). Services and website content are provided “as is” and “as available,” and we disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business, arising out of or relating to these Terms or the Services. Adik's total liability arising out of or relating to the website or Services will not exceed the total amount you paid to Adik in the three (3) months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Adik and its members, officers, contractors, and agents from any claims, damages, and reasonable costs (including attorneys' fees) arising out of your content, your use of the Services, or your breach of these Terms or of any law.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. (Note: your paid client engagements may instead specify Delaware law and JAMS arbitration in their separate agreements — see Section 3.)

Before filing any claim, the parties agree to first try to resolve the dispute informally by contacting each other in writing and negotiating in good faith for at least 30 days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Manatee County, Florida, and you consent to that jurisdiction and venue.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new “Last Updated” date, and material changes take effect when posted (or as otherwise required by law). Continued use of the site after changes means you accept the updated Terms.

14. Miscellaneous

These Terms, together with the Privacy Policy and any signed services agreement, are the entire agreement between you and Adik regarding the website and Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
